By accessing or using any of our websites, enrolling in or attending any of our programs, or interacting with our services (including SMS/text messaging services), you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use our websites or services.

1. Legal Entity and Definitions

Neema International Medical Institute LLC, a career education institution providing training and educational programs (collectively, the "Programs"). For purposes of these Terms:

"Services" means our websites, portals, online content, learning platforms, in-person and online Programs, communications (including SMS/text messaging), and any related features, content, or materials we make available.

"You" or "Student" means any individual who accesses our websites, requests information, applies to or enrolls in any Program, or otherwise uses the Services, whether on your own behalf or on behalf of another individual or organization.

2. Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional policies, rules, or Program-specific agreements that may apply (including enrollment agreements, financial agreements, student handbooks, and codes of conduct). If there is a conflict between these Terms and an executed enrollment or financial agreement, the specific agreement you signed will govern with respect to the conflicting subject matter.

3. Eligibility

You may use the Services only if you are capable of forming a binding contract with Neema International Medical Institute LLC and are not barred from doing so under applicable law. By using the Services, you represent and warrant that:

You are at least the age of majority in your state or country of residence, or you have the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf; and
All information you provide to us (including during inquiries, applications, and enrollment) is true, accurate, current, and complete, and you agree to update such information as necessary to keep it accurate and complete.

4. Accounts, Portals, and Enrollment

Account creation. Certain Services may require you to create an online account or student portal. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized use of your account or any other breach of security.

Applications and enrollment. Admission to specific Programs may require you to meet additional eligibility criteria and to complete application and enrollment processes. Enrollment may be subject to separate written agreements outlining Program details, tuition, fees, refund policies, schedules, and other Program-specific terms. Your participation in any Program is contingent on your compliance with such agreements and all academic and conduct policies issued by Neema International Medical Institute LLC.

Academic and behavioral standards. You agree to comply with all academic, attendance, professionalism, and conduct standards established by Neema International Medical Institute LLC. We reserve the right to place you on probation, suspend, or dismiss you from a Program, or to restrict your access to the Services, if you violate academic or behavioral standards, fail to meet financial obligations, or otherwise breach these Terms or any other applicable policy or agreement.

5. Payments, Tuition, and Financial Obligations

Tuition, fees, payment schedules, and refund policies for specific Programs are described in Program materials, catalogs, and any enrollment or financial agreements you may sign. By enrolling in a Program, you agree to pay all tuition and fees associated with that Program in accordance with the terms made available to you at the time of enrollment.

Payment methods. We may accept various forms of payment, which may include credit or debit cards, electronic transfers, payment plans, or third-party financing providers. By providing a payment method, you represent and warrant that you are authorized to use that payment method and authorize us (and our third-party payment processors) to charge the full amount due for your tuition, fees, and any additional authorized charges.

Past-due amounts. If any amounts you owe are not received by the applicable due date, we may, to the extent permitted by law, (a) assess late fees or interest, (b) restrict your access to classes, transcripts, or credentials, and/or (c) suspend or terminate your enrollment. You are responsible for any costs of collection, including reasonable attorneys’ fees, to the extent allowed by applicable law.

Refunds. Any refunds will be governed by the Program-specific refund policy and any applicable state or federal regulations. Nothing in these Terms alters your rights under a written enrollment or financial agreement or under non-waivable consumer protection laws that may apply to you.

6. Acceptable Use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations. You must not, and you agree that you will not, either directly or indirectly:

Use the Services in any manner that could disable, overburden, damage, or impair them or interfere with any other party’s use of the Services;
Attempt to gain unauthorized access to any accounts, systems, or networks related to the Services;
Circumvent, disable, or otherwise interfere with security-related features or access controls;
Use the Services to send spam or other unsolicited messages, or to transmit any viruses, malware, or other harmful code;
Upload, post, or transmit any content that is unlawful, defamatory, harassing, discriminatory, obscene, or otherwise objectionable; or
Engage in any activity that infringes or violates the rights of others, including privacy, publicity, or intellectual property rights.

7. SMS/Text Messaging Communications

7.1 SMS Program Description. By opting into the Neema International Medical Institute LLC mobile messaging program, you consent to receive recurring automated educational and promotional text messages from Neema International Medical Institute LLC at the mobile phone number you provide at the time of opt-in. These messages may include, for example, enrollment reminders, class schedules, institutional alerts, student support notifications, and information about programs, events, and services we offer. Your consent to receive these messages is not a condition of enrollment or purchase, unless expressly stated otherwise in writing where allowed by law.

7.2 Message Frequency and Rates. Message frequency will vary based on factors such as your relationship with Neema International Medical Institute LLC, the Programs in which you are interested or enrolled, and your interactions with our Services. We do not charge a fee for our SMS program. However, standard message and data rates may be charged by your mobile carrier, and you are solely responsible for any such charges. 7.4 Help and Support. If you are experiencing issues with the messaging program or have questions about our SMS communications, you can reply with the keyword "HELP" to any message for more information. You may also contact us using the support contact details provided on our website, such as our general phone number or email address. When you reach out, please include information about the phone number that is receiving messages and a description of the issue you are experiencing so that we can assist you more effectively.

7.5 Interrupted or Delayed Service. Delivery of SMS messages may be affected by your wireless carrier’s network and other factors outside of our control. Carriers are not liable for delayed or undelivered messages. While we strive to provide timely and accurate messaging, we do not guarantee that messages will be delivered and are not responsible for any delays, failures, or misdelivery of any SMS messages, to the fullest extent permitted by law.

7.6 Data Collected Through SMS. In connection with our SMS messaging program, we may collect information such as your mobile phone number, your wireless carrier, and the date, time, and content of your messages, as well as message delivery and interaction information. We use this information to operate, maintain, and improve our messaging program and related Services, and to comply with applicable law. Our handling of this information is also governed by our Privacy Policy, as updated from time to time. 8. Intellectual Property

Except as expressly permitted in writing by Neema International Medical Institute LLC, you must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content, or use any Content for commercial purposes. Any unauthorized use of the Content or Services may result in termination of your access and may violate applicable laws.

9. User Content and Feedback

You may be able to submit, upload, or otherwise provide content to or through the Services, such as assignments, assessments, comments, or feedback ("User Content"). You retain ownership of your User Content, but by submitting it, you grant Neema International Medical Institute LLC a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, distribute, and otherwise exploit such User Content for purposes of operating, improving, marketing, and providing the Services, as well as for educational, accreditation, and quality assurance purposes, subject to applicable privacy and student records laws.

If you provide suggestions, comments, testimonials, or other feedback about the Services or Programs ("Feedback"), you acknowledge that we may use and share such Feedback without restriction or compensation to you, and that any such Feedback is not confidential as between you and Neema International Medical Institute LLC.

We do not control and are not responsible for Third-Party Services, and we do not endorse or assume any responsibility for them. Your interactions with Third-Party Services are solely between you and the relevant third party.

12. Disclaimers

To the fullest extent permitted by applicable law, the Services and all Content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. Without limiting the foregoing, Neema International Medical Institute LLC disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or usage of trade. To the fullest extent permitted by applicable law, Neema International Medical Institute LLC total liability for any claim arising out of or relating to the Services or these Terms, regardless of the form of the action, is limited to the greater of: (i) the amount you paid to Neema International Medical Institute LLC for the specific Program or Service giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim; or (ii) one hundred U.S. dollars (US $100). Some jurisdictions do not allow the limitation of certain damages, so some of the above limitations may not apply to you, in which case such limitations will apply to the maximum extent permitted by law in the relevant jurisdiction.

14. Indemnification

You agree to indemnify, defend, and hold harmless Neema International Medical Institute LLC and its affiliates, officers, directors, employees, instructors, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of, or activities in connection with, the Services; (b) your violation of these Terms or any other applicable policy or agreement; or (c) your violation of any rights of any third party, including any intellectual property or privacy rights, except to the extent that any such claims or losses result from our own gross negligence or willful misconduct, where such limitation is permitted by law.

15. Changes to the Services and Terms

We may modify or discontinue any aspect of the Services (including Programs, content, features, or availability) at any time, with or without notice, subject to any obligations we may have under separate written agreements or applicable law. We may also update these Terms from time to time. When we do so, we will revise the "Effective date" at the top of this page and may provide additional notice as required by law or as we deem appropriate.

Your continued use of the Services after any changes to these Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services. The version of these Terms posted on our website at the time of your use of the Services will apply to that use.

16. Termination and Suspension

We may suspend or terminate your access to the Services, or to any Program or account, at any time and for any reason, including for violation of these Terms, violation of academic or conduct policies, nonpayment of tuition or fees, or as required by law or regulatory authorities. We will endeavor to provide you with notice where feasible and appropriate, but we are not obligated to do so in all cases, particularly where immediate action is necessary to protect students, staff, or institutional operations.

Upon termination of your access to the Services, your license to use the Services and Content will immediately cease, but any provisions of these Terms that by their nature should survive termination (including, without limitation, provisions relating to intellectual property, payments and refunds, disclaimers, limitations of liability, and indemnification) will continue to apply to the fullest extent permitted by law and by any applicable enrollment or financial agreements.

17. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to these Terms or the Services will be governed by and construed in accordance with the laws of the jurisdiction in which Neema International Medical Institute LLC is primarily located, without regard to its conflict of law principles, except to the extent that applicable law in your jurisdiction requires otherwise or provides you with non-waivable rights. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms or to any transactions contemplated by these Terms.

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us using the contact information provided on our website and allowing us a reasonable opportunity to respond. If we are unable to resolve the dispute informally, any legal action or proceeding arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in the jurisdiction where Neema International Medical Institute LLC is primarily located, unless applicable law requires that you be allowed to bring your claims in another forum. You and Neema International Medical Institute LLC consent to the personal jurisdiction and venue of such courts, subject to any rights you may have under applicable law that cannot be lawfully limited by agreement.

Entire agreement. These Terms, together with any applicable enrollment agreements, financial agreements, Program-specific terms, and our Privacy Policy, constitute the entire agreement between you and Neema International Medical Institute LLC with respect to the subject matter herein and supersede any prior or contemporaneous understandings or agreements, whether written or oral, relating to such subject matter, except where a separate written agreement expressly states that it supersedes these Terms with respect to a specific subject matter.

No waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Neema International Medical Institute LLC to be effective.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms, in whole or in part, without restriction and without notice to you, to the extent permitted by law and any applicable regulatory requirements.

19. NO GUARANTEES

Neema International Medical Institute LLC is committed to providing high-quality event planning and decor services; however, we do not guarantee specific results beyond what is agreed upon in writing. Each event outcome depends on various factors including venue conditions, third-party vendors, and client cooperation.

20. AFFILIATES

From time to time, we may promote, affiliate with, or partner with other individuals or businesses whose services align with ours. There may be instances when we promote, market, share or sell programs, products or services for other partners and in exchange we may receive financial compensation or other rewards. Neema International Medical Institute LLC is selective and only promotes partners whose services we respect. At the same time, you agree that any such promotion does not serve as any form of endorsement whatsoever.

21. COMPLAINTS

Neema International Medical Institute LLC offers support to our clients and a complaints handling procedure which we will use to try to resolve disputes when they first arise, with a solution that is mutually agreeable to both the client and Neema International Medical Institute LLC.
